Project description
A leading consulting firm specializing in transaction-related services is seeking an experienced freelance expert to assist with a commercial due diligence project in the software, IT, and telecommunications sectors—with a particular focus on SaaS business models.
Responsibilities
- Conducting and overseeing a technical due diligence in the software, IT, and telecommunications sectors
- Analyzing the target company’s market position, competitive landscape, and growth potential
- Evaluation of the customer base, sales strategies, and revenue drivers with a particular focus on SaaS metrics (ARR, MRR, churn, NRR, CAC/LTV)
- Assessment of the business model, pricing strategy, and product portfolio for scalability and sustainability
- Preparation of a structured red flag report and a management summary for investors and decision-makers
- Conducting expert interviews with market participants, customers, and competitors
- Deriving recommendations for action and assessing strategic risks and opportunities
Requirements
Must-have
These criteria are required for the project.
- Must-have: Proven experience conducting technical due diligence, ideally on behalf of strategy consulting firms or private equity firms
- Must-have: In-depth industry knowledge in the areas of software/SaaS, IT services, and telecommunications
- Must-have: In-depth expertise in the SaaS environment—understanding of SaaS business models, the subscription economy, and relevant KPIs (ARR, churn rate, NRR, CAC/LTV ratio)
- Must-have: Experience analyzing B2B business models, market dynamics, and competitive landscapes
- Proficiency with common frameworks (e.g., Porter’s Five Forces, TAM/SAM/SOM, competitive benchmarking)
- Experience in preparing investor-ready reports and presentations at the senior level
- Desirable: Knowledge of evaluating technology platforms and digital business models (e.g., platform economics, marketplace models, vertical SaaS)
- Desirable: A network of industry experts and market participants in the tech, telco, and SaaS sectors
- Strong analytical skills and a structured, results-oriented approach to work
